1. Overview

L2 Labs provides software, artificial intelligence, automation, and interoperability tools that help organizations analyze, generate, validate, maintain, and operate integrations, data mappings, transformation logic, implementation guides, schemas, payloads, and related enterprise data workflows, including through products such as Alloy (the “Services”). These Terms of Use (“Terms”) govern your access to and use of the Services. By accessing or using the Services, you agree to these Terms.

2. Eligibility and Authority

2.1 Minimum Age

You must be 18 years or older to use the Services.

2.2 Authority

If you access or use the Services on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

2.3 Third-Party Information

If you provide data, files, credentials, contact information, implementation materials, or other information relating to third parties, including customers, trading partners, vendors, suppliers, carriers, service providers, or business partners, you represent and warrant that you have the legal right and any required consents to provide that information to L2 Labs and to permit L2 Labs to process it in connection with the Services.

2.4 Action on Discovery

If L2 Labs becomes aware that personal information of an individual under 18 was provided without required consent, L2 Labs may suspend access to the affected account and will take reasonable steps to delete the information in accordance with applicable law.

3. Account Access, Integrations, and Data Use

3.1 Authorization

By using the Services, you authorize L2 Labs to connect to, access, receive, store, process, analyze, display, and generate outputs from the systems, files, data, APIs, databases, documents, credentials, tokens, and environments that you authorize for use with the Services. This may include enterprise resource planning systems, electronic data interchange systems, application programming interfaces, implementation guides, schemas, mapping specifications, trading partner documentation, historical integrations, payloads, logs, and related business data.

3.2 Source Responsibility

You are responsible for the accuracy, completeness, legality, and timeliness of all data, materials, credentials, and instructions provided to L2 Labs, including data pulled from your systems or supplied by third parties. L2 Labs processes and acts on the data you provide or authorize; you remain responsible for verifying and acting on critical operational, regulatory, contractual, technical, and compliance information.

3.3 Credentials and Security

You must provide valid credentials and maintain the security of any integration keys, accounts, passwords, API keys, access tokens, or other authentication mechanisms used to connect your systems to the Services. You must promptly notify L2 Labs of any suspected unauthorized access, compromise, or misuse.

4. AI-Assisted Workflows and Automated Outputs

4.1 Functionality

L2 Labs’ Services may use artificial intelligence, machine learning, automation, agents, Large Language Models (LLMs), or related technologies to analyze documents, interpret schemas, recommend or generate mappings, transform data, create implementation artifacts, validate outputs, identify inconsistencies, assist with testing, generate explanations, or automate other interoperability and data workflow tasks.

4.2 Human Review

Outputs generated by the Services may be probabilistic, incomplete, inaccurate, or require additional review. You are responsible for reviewing, validating, testing, approving, and determining the suitability of any outputs before relying on them in production, operational, regulatory, contractual, financial, or other business-critical contexts.

4.3 No Guarantee of Accuracy

L2 Labs does not guarantee that AI-generated or automated outputs will be accurate, complete, compliant, production-ready, error-free, or suitable for any particular purpose without review, testing, and approval by qualified personnel.

4.4 Third-Party Models and Systems

The Services may interoperate with third-party systems, models, infrastructure, or service providers. L2 Labs is not responsible for third-party systems or outputs except to the extent expressly required by applicable law or a separate written agreement.

5. User Obligations and Acceptable Use

5.1 Lawful Use

You may use the Services only for lawful business purposes and in compliance with applicable laws, regulations, contracts, industry standards, and third-party rights.

5.2 Operational Responsibility

You retain responsibility for your integrations, data flows, trading partner relationships, implementation decisions, compliance obligations, production deployments, testing, monitoring, and any business or technical decisions based on information or outputs surfaced by the Services.

5.3 Prohibited Conduct

You may not:

  • Use the Services for unlawful, harmful, fraudulent, deceptive, infringing, or abusive purposes;
  • Upload or transmit unlawful content or data that you do not have rights to provide;
  • Impersonate others or misrepresent your affiliation with any person or entity;
  • Interfere with, disrupt, overload, or compromise the Services or related systems;
  • Attempt to reverse engineer, decompile, scrape, crawl, copy, or circumvent the Services, except to the extent permitted by law;
  • Bypass usage limits, security controls, or fees;
  • Use the Services to develop or train a competing product or service; or
  • Use the Services in a manner that creates security, privacy, legal, or operational risk for L2 Labs, its customers, or third parties.

6. Fees, Billing, and Suspension

6.1 Fees

L2 Labs may charge subscription, usage, implementation, professional services, or other fees. You agree to pay all applicable fees in accordance with the applicable order form, statement of work, invoice, online checkout process, or other written agreement.

6.2 Payment Authorization

Where applicable, you authorize L2 Labs and its payment processors to charge the payment method you provide.

6.3 Nonpayment

Nonpayment may result in suspension or termination of access to the Services, late fees, collection actions, or other remedies available under these Terms or applicable law.

7. Privacy, Data Processing, and Security

7.1 Privacy Policy

L2 Labs’ collection and use of personal information are governed by the L2 Labs Privacy Policy, which is incorporated into these Terms.

7.2 Data Processing

L2 Labs processes data to provide, maintain, secure, improve, and support the Services. This may include connecting to authorized systems, analyzing documents and payloads, generating or validating mappings, storing artifacts, providing analytics, troubleshooting issues, and supporting customer workflows.

7.3 Security Measures

L2 Labs implements administrative, technical, and physical safeguards designed to protect data. You must follow reasonable security practices for your accounts, systems, credentials, and integrations. L2 Labs is not responsible for breaches, unauthorized access, or data loss resulting from your failure to secure credentials, your systems, or third-party systems you authorize L2 Labs to access.

7.4 Sensitive Data

You should not provide regulated, sensitive, or highly confidential data to the Services unless your agreement with L2 Labs permits such data and appropriate safeguards have been established.

8. Intellectual Property

8.1 L2 Labs Ownership

L2 Labs and its licensors retain all rights, title, and interest in and to the Services, software, models, workflows, tools, interfaces, documentation, content, trademarks, know-how, and other technology, including all improvements, enhancements, modifications, and derivative works.

8.2 Customer Data Ownership

As between you and L2 Labs, you retain ownership of the data, files, documents, credentials, payloads, schemas, specifications, and other materials you provide to the Services (“Customer Data”).

8.3 License to L2 Labs

You grant L2 Labs a limited, non-exclusive license to access, use, process, transmit, store, copy, display, and create outputs from Customer Data as necessary to provide, secure, maintain, improve, and support the Services, and as otherwise permitted by these Terms or a separate written agreement.

8.4 License to Use the Services

Subject to these Terms and payment of applicable fees, L2 Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

8.5 Feedback

If you provide suggestions, comments, ideas, or feedback about the Services, L2 Labs may use them without restriction or obligation to you.

9. Disclaimers and No Guarantees

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. L2 Labs, Inc. does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected, or that your use of the Service will meet your requirements or expectations.

10. Limitation of Liability and Remedies

10.1 Aggregate Cap

To the maximum extent permitted by law, L2 Labs’ aggregate liability for any claim arising from or related to these Terms or the Services will not exceed the fees paid by you to L2 Labs for the Services in the twelve (12) months preceding the event giving rise to the claim.

10.2 Exclusion of Damages

To the maximum extent permitted by law, L2 Labs will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or costs of substitute services, even if L2 Labs has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless L2 Labs and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of the Services;
  • Your Customer Data, systems, credentials, integrations, or instructions;
  • Your deployment, use, or reliance on outputs generated by the Services;
  • Your relationships or communications with customers, trading partners, vendors, suppliers, service providers, or other third parties;
  • Your breach of these Terms; or
  • Your violation of applicable law or third-party rights.

12. Termination and Suspension

L2 Labs may suspend or terminate access to the Services for violations of these Terms, security concerns, suspected misuse, nonpayment, legal or regulatory risk, or other lawful reasons. You may terminate your account at any time by ceasing use of the Services and following any account closure procedures provided by L2 Labs. Upon termination, your right to access and use the Services will cease, but provisions that by their nature should survive termination will survive, including payment obligations, intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

13. Changes to Terms

L2 Labs may modify these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms. Material changes will be posted with a revised effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in New York County or Kings County, New York, and you consent to personal jurisdiction and venue in those courts.
